Equine Performance Labs, LLC (“EPL”)
These Product Terms & Conditions (“Terms”) govern the purchase of Equicenta™ CTM and all other products sold by Equine Performance Labs, LLC (“EPL”). By submitting an order, Buyer agrees to be bound by these Terms.
 
1. Shipping & Fulfillment
 

• Orders ship Monday through Friday only, excluding weekends and holidays.

• Orders received before 3:00 PM EST will ship the same business day.

• Orders received after 3:00 PM EST will ship the next business day.

• Buyers are responsible for placing orders at least two (2) business days prior to any scheduled procedure to ensure timely delivery.
   

2. Product Sales & Risk of Loss
 

• All sales are final. No returns, refunds, or exchanges are permitted.

• Title and risk of loss transfer to Buyer upon delivery.

• Buyer assumes all responsibility for proper receipt, storage, handling, thawing, preparation, and use of the product.

EPL is not liable for product degradation, contamination, reduced performance, or failure resulting from improper storage, handling, thawing, or use after delivery.
 
3. Storage, Handling & Use Requirements

Buyer agrees to:

• Store products at required temperatures and conditions as specified by EPL.

• Use products before the stated expiration date.

• Follow EPL’s storage, handling, and use guidelines at all times.

• Ensure proper aseptic technique and compliance with accepted veterinary medical standards.

• Dispose of unused product and related materials in accordance with applicable biohazard and regulatory requirements.

EPL is not responsible for adverse events resulting from improper storage, handling, aseptic technique, or failure to follow veterinary medical standards.
 
4. Veterinary Use Restrictions
 

• Products are for veterinary use only.

• Products may be purchased only by licensed veterinarians or licensed veterinary clinics.

• Products may be used only in accordance with accepted veterinary medical standards.

• Products may not be used for experimental, investigational, or research purposes without EPL’s prior written consent.
   

5. Intellectual Property & Confidentiality
 

• Products may not be resold, redistributed, modified, tested, analyzed, or reverse engineered.

• No samples may be provided to third parties for analytical, comparative, or research purposes.

• EPL’s product formulations, processing methods, compositions, and related materials constitute confidential, proprietary trade secrets.

Unauthorized use, disclosure, testing, analysis, or reverse engineering is strictly prohibited and may result in EPL seeking injunctive relief and all available legal remedies.
 
6. Adverse Event Reporting

Buyer agrees to notify EPL within a reasonable timeframe of:

• Any suspected adverse reactions

• Product defects

• Unexpected outcomes

This notification supports EPL’s quality assurance, safety monitoring, and regulatory compliance efforts.
 
7. Payment Terms
 

• Orders must be paid in full prior to shipment, unless EPL approves Net 60 payment terms in writing.

• Net 60 pricing may differ from standard pricing.

• Prices and payment terms are subject to change without notice.
   

8. Warranty Disclaimer

Products are provided “as is” with no warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
 
9. Limitation of Liability

To the fullest extent permitted by law:

• EPL’s total liability shall be limited to the amount paid by Buyer for the product giving rise to the claim.

• EPL shall not be liable for any indirect, incidental, consequential, or special damages.
   

10. Indemnification

Buyer agrees to indemnify, defend, and hold harmless EPL from any claims, damages, losses, or liabilities arising out of or related to:

• Buyer’s misuse or improper handling of the product

• Off-label use

• Failure to follow EPL guidelines or veterinary medical standards

• Violation of these Terms
   

11. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Exclusive venue for any dispute shall be in Travis County, Texas.
 
12. Acceptance of Terms

Submission of an order constitutes Buyer’s full and unconditional acceptance of these Product Terms & Conditions.
